Who We Are
Alaris Acquisitions is a specialized M&A advisory firm focused exclusively on the wealth management industry. We represent independent RIA owners through the most consequential transaction of their careers — and we do it culture-first. The goal is never to find a buyer. It is to find the right buyer.
Our leadership team has been on the other side of the table. Our CEO built and sold his own RIA and sourced 25+ acquisitions, leading United Capital's outbound M&A team. Our Managing Partner spent that same run on United's M&A team through its $26B acquisition arc, then two years at Goldman Sachs. Since founding Alaris, we have closed 60 transactions in five years.
We are small, senior, and fast. There is no bureaucracy to hide behind and no work that is beneath anyone. If you want a slow, corporate environment with a long ramp and a thick layer of process, this isn't it.
If you want to be the person who makes sure a founder's numbers hold up when it counts, keep reading.
The Role
You will join our analyst team, which owns the financial backbone of every Alaris engagement. We are expanding it because deal volume has outgrown its current capacity, and because the financial work on a transaction has become the part most likely to make or break it.
Two things define this job. First, data integrity. Every number Alaris puts in front of a buyer traces back to a seller's books, and those books are almost never clean when they arrive. You will own the accuracy of that data end to end — reconciling it, pressure-testing it, and building a recast that survives contact with a buyer's accountants.
Second, Quality of Earnings. Once an LOI is signed, the buyer's QoE provider goes line by line through everything we produced. That is where deals get repriced, and it is where the work you did months earlier either holds or doesn't. You will run our side of that process — supporting the seller through it, engaging directly with the buyer's diligence team, and defending every adjustment we made or conceding the ones we shouldn't have.
You will also carry live valuations. Recast, normalized EBITDA, applied multiple, offer construct, and the conversation where you explain the number to the owner. Most of them have never had that conversation before, and many are carrying an assumption that is wrong in one direction or the other.
This is not a support role and it is not a model-monkey role. You will succeed here if you:
- treat a reconciliation difference as a question that has an answer, not an annoyance
- can build the model and then explain it to someone who does not want to see the model
- hold your position with a buyer's diligence team, and change it when they are right
- are comfortable being the person who says the number is lower than they hoped
- move without being managed
What You'll Do
Own Data Integrity
- Collect, normalize, and validate seller financials (e.g.,P&Ls, balance sheets, general ledger detail, comp records, and client and revenue data) and turn messy inputs into a defensible picture of the business.
- Reconcile financial data against source systems, tax returns, custodial reports, and CRM records. Find the discrepancies before a buyer does.
- Build the recast: identify and support add-backs, normalize owner's compensation, and separate real operating economics from owner discretion.
- Document the support behind every adjustment as you go, so the file is diligence-ready on day one rather than reconstructed under deadline.
- Maintain version control and a single source of truth across the recast, CIM, and buyer deliverables. Two different numbers in two different documents is a credibility problem, not a formatting one.
- Flag data gaps and quality concerns early, internally and with the seller, so nothing surfaces for the first time in diligence.
Run Our Side of Quality of Earnings
- Prepare sellers for QoE before the LOI is signed: what the provider will ask for, what they will challenge, and what documentation needs to exist in advance.
- Serve as Alaris's primary technical point of contact with the buyer's QoE provider post-LOI. Manage information requests, keep the process moving, and prevent open items from becoming stalls.
- Defend the recast line by line. Support each add-back with documentation, and know the difference between an adjustment worth fighting for and one worth conceding.
- Reconcile QoE findings against our recast, quantify the impact on deal economics, and brief Alaris leadership and the seller quickly when a finding threatens value.
- Translate QoE mechanics into plain language for owners who have never been through it and are, reasonably, alarmed by it.
- Support the seller through close on all financial and data-related workstreams, working alongside the Transition Coordinator.
Carry Live Valuations
- Determine normalized EBITDA and select and defend the applied multiple based on recurring revenue quality, growth, client demographics, margin profile, and team depth.
- Model the full offer construct — currency stack, deferred consideration, equity rollover, growth earnouts — and the all-in economics that follow.
- Lead valuation walkthroughs with owners. Teach the math, don't just present the output.
- Field the hard questions live: why this multiple, why that add-back was rejected, what would move the number.
- Work with the rest of the analyst team on methodology and consistency, so any Alaris valuation holds to the same standard regardless of who built it.
Strengthen the Engine
- Sharpen our recast templates, data request checklists, and QoE playbook. If something we do is slower or weaker than it should be, fix it.
- Build the feedback loop: every QoE finding should make the next recast better. Bring those lessons back to the team, not just to your own spreadsheet.
- Track transaction comps, market conditions, and regulatory shifts that move valuation inputs or diligence expectations.
- Mentor coordinators and analysts on recast mechanics, deal math, and financial fluency.
What We're Looking For
Required
- 5+ years in transaction advisory, Quality of Earnings, financial due diligence, business valuation, corporate finance, or investment banking for wealth management businesses
- Experience in wealth management, RIAs, or financial services M&A.
- Bachelor's or Master's in accounting, finance, or a related discipline.
- Hands-on experience with financial due diligence or QoE — from either side of the engagement.
- Genuine command of financial statement analysis and the ability to trace a number back to its source, not just operate someone else's template.
- Proven ability to present financial conclusions to non-financial decision-makers and hold up under questioning.
- Capacity to run multiple live deals at once against real deadlines.
Preferred
- CPA, CFA, CVA, ABV, or ASA.
- Big 4 or national firm transaction advisory experience.
- Sell-side advisory experience — you have represented the person whose name is on the door.
- Familiarity with the RIA buyer landscape and how different buyer models price, structure, and diligence deals.
Traits That Win Here
- Intellectual honesty; the number is the number
- Ownership mentality
- Relentless about the detail, without losing the deal's momentum
- Composure under diligence pressure
- Curiosity about the business behind the financials
- Comfort with accountability
Compensation
Competitive base plus performance incentives. Commensurate with experience.
How to Apply
Send your resume to jacqueline@alarisacquisitions.com plus a short note answering one question:
Tell me about a time a diligence or QoE finding threatened a deal. What was the issue, what did you do about it, and what happened?
Final Note
We care more about judgment than pedigree. The candidates who stand out here are the ones who can look at a $4M-revenue advisory firm's books and immediately see the three things a buyer's accountants are going to question and have the answers ready before they ask.
