DescriptionTITLE: Contract Manager, (exempt) REPORTING LOCATION: US Remote REPORTS TO : Business Operations Manager Primary Objectives The Contract Manager will be a key member of Champions commercial organization and will be responsible for drafting, reviewing, and responding to time-sensitive requests for a wide variety of contracts. In addition, the successful candidate will be working closely with other internal and external stakeholders including Legal, Corporate Development and Finance Departments to continually update and improve the company’s contracts management system. Duties And Responsibilities .

  • Responsible for timely review and execution of Master Service Agreements, Material transfer agreements, Confidentiality and Non-Disclosure Agreements, and assist with renewals, amendments, and other routine agreements
  • Reviews contracts for compliance with company policies
  • Functions as legal support and a trusted advisor for Champions commercial Team Members and Leadership
  • Perform risk analysis review for all contractual documents and recommend mitigating options
  • Collaborates, as necessary, with subject matter experts (SMEs) to develop and implement appropriate contract terms
  • Engages on top priority and complex agreements tied to large value transactions
  • Resolves contract-related issues and seeks input where necessary, demonstrating good judgment in selecting methods and techniques for obtaining solutions
  • Liaises with external Legal team for drafting and/or update of agreement templates including services, consulting, marketing, licensing, non-disclosure, data privacy, and other commercial and technology related agreements
  • Works closely with Legal counsel to develop and improve applicable standardized forms, processes, and procedures
  • Manages the contractual component for research collaboration and licensing agreements
  • Works with corporate development and finance to track licensing agreements, including expiration and renewals, periodic reports and royalty payments
  • Develops and maintains contracts databases and files and creates systems to track and report on contract terms.
  • Assists in the selection of contract management tools, and manages the implementation of those tools on an enterprise-wide basis
  • Assists in the development and implementation of contracts-related policies and procedures, reviews contract processes, and makes proposals for continuous process improvements
  • Supports internal and external audits related to contract approval, execution, and administration, and oversees the routing and completion of RFIs and due-diligence questionnaires.
  • Educates and train others on core contract management processes for the generation, execution and maintenance of contracts
  • Performs other contracts related activities and tasks as assigned

QualificationsKNOWLEDGE, SKILLS AND ABILITIES

  • Expertise in drafting and negotiating a wide variety of commercial, licensing and other technology-related agreements
  • Must be able to analyze and understand contract terms and conditions
  • Ability to maintain a high level of confidentiality and discretion in handling sensitive legal matters
  • Must have excellent oral and written communications skills
  • Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations
  • Ability to meet deadlines – timely follow-up and follow-through
  • Excellent organizational skills, attention to details, and ability to multi-task and handle multiple projects simultaneously in a fast-paced, deadline-driven, cross-functional environment

Education And Experience

  • JD, paralegal certificate, or equivalent work experience required
  • Minimum of 3 years of contracts management,
  • Previous experience at a pharmaceutical, biotechnology or medical device industry is preferred

PHYSICAL DEMANDS AND WORK ENVIRONMENT

  • Must be able to sit for long periods of time using a computer in a typical office environment
